These Terms of Service ("Terms") govern your access to and use of the Seacap website, applications, and related services (collectively, the "Services"), operated by Seacap ("Seacap," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Eligibility

Our Services are intended for business owners and authorized representatives who are at least 18 years of age and are seeking information about, or applying for, business funding products. By using our Services, you represent that you meet these requirements and have the authority to submit information on behalf of the business you represent.

2. Description of Services

Seacap provides information about business funding products, including but not limited to merchant cash advances, lines of credit, buyouts, and equipment financing, and facilitates the application process between businesses and funding partners. Submitting an application through our Services does not guarantee approval, funding, or any specific offer terms. All funding decisions are made at the sole discretion of Seacap and/or its funding partners.

3. Applications and Accuracy of Information

When you submit an application or inquiry, you agree to:

  • Provide accurate, current, and complete information
  • Promptly update any information that becomes inaccurate or incomplete
  • Authorize Seacap and its funding partners to verify the information provided, including through credit bureaus, bank verification services, and other third-party sources

Seacap reserves the right to reject any application, request additional documentation, or decline to proceed with a submission at any time and for any reason.

4. Electronic Communications Consent

By using our Services and providing your contact information, you consent to receive communications from us electronically, including by email, phone, and SMS/text message, in connection with your application and our Services.

4.1 SMS Program Terms

By providing your mobile phone number and opting in, you agree to receive recurring SMS text messages from Seacap regarding:

  • Business funding offers and follow-ups
  • Application status updates
  • Account servicing and payment reminders
  • Promotional offers and re-engagement messages

Message frequency varies depending on your interactions with us.

Message and data rates may apply, based on your mobile carrier plan.

To opt out at any time, reply STOP to any message you receive from us. You will receive a one-time confirmation that you have been unsubscribed, and no further messages will be sent unless you opt in again.

Consent to receive SMS messages is not a condition of obtaining any funding, product, or service from Seacap. Carriers are not liable for delayed or undelivered messages. SMS communications are further governed by our separate SMS Privacy Policy. You may withdraw consent to marketing communications at any time as described in our Privacy Policy.

5. No Financial, Legal, or Tax Advice

Information provided through our Services is for general informational purposes only and does not constitute financial, legal, tax, or other professional advice. You should consult your own qualified advisors before making any business or financing decisions.

6. Intellectual Property

All content on our Services, including text, graphics, logos, and software, is the property of Seacap or its licensors and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without our prior written consent.

Our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. Seacap does not warrant that our Services will be uninterrupted, error-free, or secure.

10. Limitation of Liability

To the fullest extent permitted by law, Seacap and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our Services, even if advised of the possibility of such damages. Seacap's total liability for any claim arising from these Terms or your use of our Services shall not exceed the amount, if any, you paid to Seacap in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Seacap and its officers, employees, and affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your use of our Services, your violation of these Terms, or your violation of any rights of a third party.

Seacap may suspend or terminate your access to our Services at any time, without notice, for conduct that we believe violates these Terms or is otherwise harmful to Seacap or other users.

These Terms shall be governed by and construed in accordance with the laws of the state in which Seacap is headquartered, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in that jurisdiction, and you consent to the personal jurisdiction of such courts.
